These Terms of Service ("Terms") are a binding agreement between you and Valletto LLC ("Valletto," "we," "us," or "our") and govern your use of the Valletto Resident application and related services (the "Service"). By verifying your phone number and using the Service, you agree to these Terms.
Valletto provides software that lets valet and parking companies ("Operators") manage resident parking, permits, and payments. Valletto is a technology provider, not a parking operator. The Operator at your location is responsible for the parking facility, your vehicle, and the parking services you receive. Your parking arrangement is between you and the Operator.
You must be at least 18 years old and able to form a binding contract to use the Service. We verify your identity using your mobile phone number and a one-time passcode sent by text message. You are responsible for keeping access to your phone number secure and for activity under your account.
A parking permit links your vehicle (by license plate) to a parking program offered by your Operator. Permit availability, pricing, durations, and renewal rules are set by the Operator, not by Valletto. You are responsible for providing an accurate license plate and vehicle information. When your vehicle is checked in, the Operator's staff may photograph it and its plate, and the Service may read the plate from the image automatically to match the vehicle to your permit.
By providing your phone number, you consent to receive service text messages from Valletto and your Operator, including verification codes and permit, payment, and parking notifications. Message and data rates may apply, and message frequency varies. Reply STOP to opt out of non-essential messages or HELP for help. Opting out of essential messages, such as verification codes, may prevent you from using the Service.
Permit prices are set by your Operator and shown to you before you pay. Payments are processed by our payment provider, Stripe, on behalf of the Operator. Valletto does not store your full card details. If you purchase a recurring permit, you authorize recurring charges to your payment method at the stated interval until you cancel.
You may cancel a recurring permit at any time through the app or by contacting your Operator. Cancellation stops future renewals but does not retroactively refund a current period unless required by law or the Operator's policy. Refund and proration policies are determined by your Operator.
You agree to use the Service lawfully and only for your own parking. You will not misuse the Service, attempt to access it without authorization, provide false information, or use another person's vehicle or payment method without permission.
Your vehicle is parked with the Operator under the Operator's terms. Valletto is not responsible for your vehicle or its contents, or for any loss, theft, or damage, or for the parking services provided by the Operator. Any claim relating to the parking, the facility, or your vehicle is between you and the Operator.
The Service, including its software, design, and content, is owned by Valletto and protected by law. We grant you a limited, personal, non-transferable license to use the Service for managing your parking. You may not copy, modify, or reverse engineer it.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
To the fullest extent permitted by law, Valletto will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss relating to your vehicle or parking. Valletto's total liability for any claim relating to the Service will not exceed the amount you paid through the Service in the three months before the claim.
You agree to indemnify and hold Valletto harmless from claims arising out of your misuse of the Service or your violation of these Terms.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved informally will be resolved by binding arbitration on an individual basis, and you and Valletto waive the right to a jury trial and to participate in a class action, except where prohibited by law. You may opt out of arbitration within 30 days of first accepting these Terms by contacting us.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or other users.
